Terms of Service

Last updated: September 20, 2026

1. Overview

These Terms of Service (“Terms”) are an agreement between you and Quota (“Quota,” “we,” “us,” or “our”) for use of the Quota website, application, and related services (the “Service”).

Quota is quoting and job-tracking software for small contractors. It helps you create professional quotes, manage customer information, share a quote link or PDF, track quote status, convert won quotes into projects, and track job costs and profitability.

By creating an account, accessing the Service, or clicking to accept these Terms, you agree to them. If you are using the Service on behalf of a business, you represent that you have authority to bind that business, and “you” includes that business.

These Terms govern your use of the Quota platform. They are separate from any terms, conditions, scope, exclusions, or warranty language you include in a quote you send to your own customers. Quota is not a party to those customer agreements.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use by contractors and related trades, not for personal or household use by children.

You agree to provide accurate account information, including your name, company name, and email address, and to keep that information current. You are responsible for maintaining the confidentiality of your password and for activity that occurs under your account.

Notify us through the Contact page if you believe your account has been accessed without authorization. We may require email confirmation before an account is fully activated.

We may refuse, suspend, or close an account if we reasonably believe these Terms have been violated, the account information is false, or continued access would create risk for you, other users, or the Service.

3. Use of the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own contracting business.

You agree not to:

  • Use the Service for any unlawful purpose, or to create quotes that you know are fraudulent or misleading
  • Attempt to access another user’s account, data, or the Service’s non-public systems
  • Interfere with, overload, or disrupt the Service
  • Reverse engineer, scrape, or copy the Service except as allowed by applicable law
  • Resell, sublicense, or provide the Service to third parties as your own product
  • Upload malware or content you do not have the right to use
  • Use the Service in a way that infringes someone else’s rights

You are responsible for the quotes, prices, scope, exclusions, assumptions, and terms you send to customers. Quota does not review your quotes for legal, tax, insurance, or licensing compliance, and does not guarantee that a quote will be accepted or that a job will be profitable.

Quote wording generated in the Service is a starting template based on the project type and details you enter. You must review and edit that wording before sending it.

4. Customer Content and Quotes

You retain ownership of the content you enter into the Service, including company details, logos, customer records, quote line items, pricing, quote language, projects, cost codes, labour people and rates, labour hours, and expenses (“Customer Content”).

You grant Quota a limited license to host, store, process, display, and transmit Customer Content only as needed to operate, secure, and improve the Service, and to follow the law. We do not claim ownership of your customer list or your quotes.

You represent that you have the right to enter Customer Content, including personal information about your customers, and that doing so does not violate any law or agreement. You are responsible for how you use and share that information, including when you send a client a link or PDF.

Quote terms you send to a customer are between you and that customer. Quota does not broker the job, collect payment from your customers, or become a party to the underlying work.

Quote, customer, project, and company-setting records are stored in your Quota account. They are available when you sign in on another device. Each account can only access its own records. Account and subscription information is stored with our service providers, as described in the Privacy Policy.

5. Billing and Subscriptions

New accounts include a 7-day free trial of Quota with full access. After the trial, Quotes is $14.99 per month and includes sending quotes without Project Tracker. Quotes and Project Tracking is $44.99 per month and includes every feature, including Project Tracker, unless we post a different price.

Trial access does not require a paid subscription. When payment processing is connected, you will be able to subscribe, manage, and cancel a plan from Subscription in your Quota account. Until a payment processor is connected, choosing a plan records it on your account and does not charge a card. Processor-based cancellation is not active.

If you subscribe:

  • Fees are billed in advance for each billing period
  • Subscriptions renew automatically until you cancel
  • Cancellation stops future renewals; you keep access through the end of the period already paid
  • Fees are non-refundable except where required by law or where we expressly agree otherwise
  • We may change prices with notice before the change applies to a renewal

Taxes may apply based on your location. Failed payments may result in suspension of paid features.

Quota’s fees are for use of the software. They are not a payment to or from your customers for construction work.

6. Quota Intellectual Property

Quota and its licensors own the Service, including the software, design, trademarks, and documentation. These Terms do not transfer any ownership of Quota’s intellectual property to you.

You may not copy, modify, or create derivative works of the Service except as needed for ordinary use, or remove proprietary notices.

7. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT QUOTES, TOTALS, OR TEMPLATES WILL BE ACCURATE OR SUITABLE FOR A PARTICULAR JOB.

Quota is not a law firm, accountant, insurer, or licensing authority. Nothing in the Service is legal, tax, insurance, or professional advice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTA AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO QUOTA FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100.

Some jurisdictions do not allow certain limitations. In those places, our liability is limited to the fullest extent permitted by law.

You agree to defend and indemnify Quota against claims arising from your Customer Content, your quotes and customer communications, your violation of these Terms, or your violation of law or third-party rights, except to the extent caused by our willful misconduct.

8. Suspension, Termination, and Changes

You may stop using the Service at any time. To request account deletion, use the Contact page. Self-serve account deletion is not yet available.

We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service. We will try to provide reasonable notice when practical.

We may update the Service and these Terms. If we make a material change, we will update the “Last updated” date on this page and, when appropriate, provide additional notice. Continued use after the updated Terms take effect constitutes acceptance. If you do not agree, you must stop using the Service.

These Terms are governed by applicable law without regard to conflict-of-law rules. If a provision is unenforceable, the remaining provisions stay in effect. These Terms are the entire agreement between you and Quota about the Service and supersede prior agreements on the same subject.

We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign them without our consent.
